About the Role:
We are seeking a dynamic and seasoned General Counsel (GC) to lead the legal, compliance, and regulatory functions of our investment platform. This executive role is crucial in guiding the company through complex legal environments, managing risk, supporting transactions, and aligning legal strategy with business objectives.
Key Responsibilities
1. Legal & Transactional Oversight

Serve as the lead legal advisor for all M&A, fund formation, joint ventures, investment transactions, exits, and strategic deals.

Draft, review, and negotiate complex investment agreements, shareholder agreements, and other legal documents.

Manage due diligence processes and coordinate with external counsel when necessary.
2. Regulatory & Compliance Leadership

Ensure the company is in full compliance with SEBI, RBI, Companies Act, AIF Regulations, and global regulatory frameworks (e.g., GDPR, FATCA).

Lead compliance strategy and reporting, including anti-money laundering (AML), ESG compliance, and anti-bribery frameworks.
3. Corporate Governance

Act as the key liaison to the Board of Directors and ensure compliance with corporate governance protocols.

Draft board resolutions, investor reports, and provide legal oversight on shareholder meetings and reporting.
4. Risk Management

Identify legal risks and provide proactive solutions to mitigate them across business functions.

Establish and enforce company-wide legal policies and frameworks.
5. Leadership & Strategic Advisory

Serve as a strategic advisor to the CEO and executive leadership on business expansion, risk, litigation strategy, and legal innovation.

Participate in fundraising discussions, investor relations, and strategic partnerships.
Qualifications

Law degree from a top-tier university; additional qualifications (LL.M., CS, MBA) are a plus.

Minimum 15 years of relevant experience, with at least 5 years in a leadership GC or DGC (Deputy General Counsel) role in investment, PE/VC, asset management, or financial services.

Deep understanding of Indian and global corporate, securities, and financial laws.

Proven success managing legal teams and external advisors.
